1) Acceptance of Terms

By using our websites, applications, or related services (collectively, the "Services"), you accept these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2) Eligibility and Accounts

You represent and warrant that you are at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

3) Services and Availability

We may add, modify, or discontinue features or functionality of the Services at any time with or without notice. We make commercially reasonable efforts to keep the Services available but do not guarantee uninterrupted or error-free operation.

4) Acceptable Use

• Do not use the Services for unlawful, harmful, or fraudulent purposes.
• Do not attempt to access accounts or data without authorization.
• Do not disrupt or interfere with the integrity or performance of the Services.
• Do not misuse any contact information found on our sites for unsolicited communications.

5) Protected Health Information (PHI)

For Services that involve handling of PHI, IHP will implement administrative, physical, and technical safeguards consistent with applicable law, and where appropriate, will execute a Business Associate Agreement (BAA) with covered entities and their business associates.

You are responsible for ensuring lawful collection and use of PHI and for providing required notices and consents to your patients.

6) Privacy

Our handling of personal information is described in our Privacy Policy. By using the Services, you acknowledge that processing as described therein.

7) Data Ownership and License

As between you and IHP, you retain ownership of your data. You grant IHP a non-exclusive, worldwide, royalty-free license to use, host, reproduce, modify, and create derivative works of such data solely to provide and improve the Services, and as otherwise permitted by law.

8) Fees and Billing

Fees (if applicable) are set forth in the applicable order form, SOW, or agreement. You authorize IHP and its payment processors to charge you for Services and applicable taxes. Late payments may incur interest or service suspension, consistent with applicable law and the governing agreement.

9) Intellectual Property

The Services and all related content, features, and functionality are owned by IHP or its licensors and are protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works based on the Services.

10) Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

11) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IHP AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

12) Indemnification

You agree to defend, indemnify, and hold harmless IHP from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services or violation of these Terms.

13) Termination

We may suspend or terminate your access to the Services for any violation of these Terms or as otherwise permitted under an applicable agreement. Upon termination, your right to use the Services will cease.

14) Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflicts of law principles, unless otherwise required by applicable law.

15) Changes to the Terms

We may update these Terms from time to time. The updated Terms will be effective when posted, as indicated by the revised date. Your continued use of the Services after the changes become effective constitutes acceptance of the updated Terms.
